1. Acceptance of Terms
Welcome to GoVaultly ("GoVaultly," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of govaultly.com and any related applications, services, software, content, and features (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Services.
If you use the Services on behalf of a business, government agency, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
3. Description of Services
GoVaultly provides digital document management, secure temporary storage, organization, sharing, workflow, compliance, and related services.
We may modify, suspend, or discontinue any portion of the Services at any time without liability.
4. Account Registration
To access certain features, you may be required to create an account.
You agree to:
- Provide accurate and current information;
- Maintain the security of your account credentials;
- Promptly notify us of unauthorized account access;
- Accept responsibility for activities occurring under your account.
You are responsible for maintaining the confidentiality of your login credentials.
5. User Content
"User Content" includes documents, files, records, images, data, text, and other materials uploaded, stored, transmitted, or shared through the Services.
You retain ownership of your User Content.
By uploading User Content, you grant GoVaultly a limited, non-exclusive license to host, store, process, transmit, and display such content solely as necessary to provide the Services.
Content Moderation and Removal Rights
GoVaultly reserves the right, but not the obligation, to remove, disable access to, refuse to store, or delete any User Content that it reasonably believes violates these Terms, applicable law, the rights of any third party, or may pose a security risk to the Services or other users.
Data Deletion Upon Download
GoVaultly operates as a secure, temporary transfer vault. You acknowledge and agree that once User Content is successfully downloaded by you or your authorized recipient, the associated User Content will be promptly and automatically removed from GoVaultly's active production systems and will no longer be accessible through the Services.
For disaster recovery, business continuity, security, and operational integrity purposes, residual copies of User Content may remain temporarily within encrypted backup systems maintained by GoVaultly or its cloud infrastructure providers, including Amazon Web Services ("AWS"), in accordance with standard backup retention and deletion practices. Such backup copies are not accessible through the Services, are retained solely for disaster recovery purposes, and are automatically deleted or overwritten in the ordinary course of business.
You are solely responsible for ensuring you maintain any necessary copies of your User Content before and after initiating a download through the Services.
You represent and warrant that:
- You own or have permission to use the content;
- The content does not violate any law or third-party rights;
- The content does not contain malicious code or harmful material.
6. Acceptable Use
You agree not to:
- Violate any applicable law or regulation;
- Upload illegal, fraudulent, defamatory, or infringing content;
- Attempt unauthorized access to systems or accounts;
- Distribute malware, viruses, or harmful software;
- Interfere with the operation or security of the Services;
- Reverse engineer, decompile, or attempt to extract source code;
- Use the Services to transmit spam or unauthorized communications.
We reserve the right to investigate violations and suspend or terminate accounts.
7. Government and Sensitive Data
If you upload government, legal, financial, healthcare, or other sensitive information, you remain solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, contractual obligations, and agency requirements.
Unless expressly stated in a separate written agreement signed by GoVaultly, GoVaultly makes no representation or warranty that the Services satisfy the requirements of any specific regulatory, security, or compliance framework, including but not limited to FedRAMP, FISMA, CJIS, HIPAA, ITAR, EAR, DFARS, CMMC, NIST standards, or similar federal, state, local, or international requirements.
Users are solely responsible for determining whether the Services are appropriate for their intended use and compliance obligations.
7.1 Data Ownership
As between the parties, all right, title, and interest in and to User Content remain solely with the user or the user's licensors. GoVaultly acquires no ownership interest in User Content through the provision of the Services. Except as expressly set forth in these Terms, GoVaultly may use User Content only as necessary to provide, maintain, secure, and improve the Services.
8. Intellectual Property
The Services, including software, trademarks, logos, designs, content, and technology, are owned by GoVaultly or its licensors and are protected by intellectual property laws.
These Terms do not grant ownership rights to users.
You may not copy, modify, distribute, sell, or create derivative works based on the Services without written permission.
9. Subscription and Payment
Certain Services may require payment.
By purchasing a subscription, you agree to:
- Pay all applicable fees;
- Provide valid payment information;
- Authorize recurring charges where applicable.
Unless otherwise stated:
- Fees are non-refundable;
- Subscriptions automatically renew until canceled;
- Pricing may change upon notice.
10. Data Security
We implement commercially reasonable security measures designed to protect User Content.
However, no system can be guaranteed 100% secure. You acknowledge and accept the risks associated with electronic transmission and storage of information.
Due to the temporary nature of the Services, you are strictly responsible for maintaining independent backups of all important content.
IMPORTANT NOTICE
BY USING THE SERVICES, YOU ACKNOWLEDGE THAT GOVAULTLY IS DESIGNED FOR TEMPORARY FILE TRANSFER AND IS NOT A LONG-TERM STORAGE, ARCHIVAL, OR BACKUP SERVICE.
10.1 Service Availability
GoVaultly does not guarantee any minimum uptime, service level, retention period, delivery time, file availability, or uninterrupted access to the Services unless expressly provided in a separate written Service Level Agreement ("SLA"). Scheduled maintenance, system upgrades, security events, third-party service interruptions, and other circumstances may affect availability.
11. Third-Party Services
The Services may integrate with third-party providers.
We are not responsible for:
- Third-party websites;
- Third-party software;
- Third-party content;
- Third-party security practices.
Your use of third-party services is governed by their own terms.
11.1 Force Majeure
GoVaultly shall not be liable for any delay, interruption, failure in performance, loss of data, or inability to provide the Services resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, cyberattacks, denial-of-service attacks, power outages, governmental actions, pandemics, or failures of third-party service providers.
12. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms.
13. Termination
You may stop using the Services at any time.
We may suspend or terminate access immediately if:
- You violate these Terms;
- We suspect fraudulent or unlawful activity;
- Required by law;
- Necessary to protect our systems, users, or business.
Data Removal Following Termination
Upon termination of your account for any reason, your right to access the Services ends immediately. There is no guaranteed grace period for data retrieval unless otherwise required by law or agreed to in writing.
Any User Content remaining in your account that has not been downloaded prior to termination may be removed from GoVaultly's active production systems and become inaccessible through the Services. GoVaultly shall have no liability for any loss of User Content resulting from account termination, suspension, or your failure to download or retain copies of your data.
For disaster recovery, security, compliance, and operational purposes, residual copies of User Content may remain temporarily within encrypted backup systems maintained by GoVaultly or its cloud service providers, including AWS, and will be deleted or overwritten in accordance with standard backup retention schedules and operational practices.
BY USING THE SERVICES, YOU ACKNOWLEDGE THAT GOVAULTLY IS DESIGNED FOR TEMPORARY FILE TRANSFER AND IS NOT A LONG-TERM STORAGE, ARCHIVAL, OR BACKUP SERVICE.
14. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOVAULTLY DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY;
- RELIABILITY;
- UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not guarantee that the Services will always be available, secure, or free from defects.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOVAULTLY SHALL NOT BE LIABLE FOR:
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- SPECIAL DAMAGES;
- CONSEQUENTIAL DAMAGES;
- LOSS OF PROFITS;
- LOSS OF DATA;
- BUSINESS INTERRUPTION.
IN NO EVENT SHALL GOVAULTLY'S TOTAL LIABILITY EXCEED THE GREATER OF:
(a) THE FEES PAID BY YOU TO GOVAULTLY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
(b) ONE HUNDRED U.S. DOLLARS ($100).
16. Indemnification
You agree to defend, indemnify, and hold harmless GoVaultly and its officers, employees, affiliates, and agents from any claims, damages, liabilities, losses, costs, and expenses arising from:
- Your use of the Services;
- Your User Content;
- Your violation of these Terms;
- Your violation of any third-party rights.
17. Governing Law
These Terms shall be governed by and construed under the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
18. Dispute Resolution
Before filing a legal claim, the parties agree to attempt to resolve disputes informally.
Any dispute arising from these Terms shall be resolved through binding arbitration conducted in Arlington County, Virginia, except where prohibited by law.
The parties waive any right to participate in class actions or class arbitration.
19. Changes to These Terms
We may modify these Terms at any time.
Updated versions will be posted on the website with a revised Effective Date.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

21. Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and GoVaultly regarding the Services and supersede all prior agreements and understandings.
